Service Provider Agreement

1. Purpose
1.1 This Service Provider Agreement (the Agreement) sets out the terms and rules of cooperation between the Ofroi platform and the Service Provider (the Provider or External Partners) who create accounts and publish offers on the platform. The purpose is to ensure transparency, accuracy and quality of services offered through the platform.
2. Registration and use of the account
2.1 The Provider must create a valid account with accurate, truthful and up-to-date information.
2.2 Each account is personal and may not be transferred or used by others without permission.
2.3 The platform may verify the Provider's identity and legality at any time.
2.4 The Provider is responsible for safeguarding their password and any activity carried out through their account.
3. Content and offers
3.1 The Provider is fully responsible for content published on the platform, including descriptions, prices, photos, services and other information.
3.2 All information must be truthful, lawful, not misleading and in line with professional and ethical standards.
3.3 Publishing misleading, false, discriminatory or offensive content that infringes copyright, laws or third-party rights is prohibited.
3.4 Ofroi may delete, restrict or suspend content that violates this Agreement.
4. Obligations of the Service Provider
The Provider undertakes to:
4.1 Provide professional, safe services in line with the description published on the platform.
4.2 Communicate with users in a courteous, respectful and professional manner.
4.3 Respect deadlines, agreements and conditions agreed with users.
4.4 Maintain confidentiality of any information received through the platform and not share, copy or use it for purposes outside service delivery.
4.5 Hold all licences, certificates or authorisations required to provide the published services.
4.6 Comply with applicable laws, including those relating to taxes, tax obligations and social insurance.
4.7 Not offer unlawful or dangerous services.
5. Payments and fees
5.1 Providers may choose one of the subscription packages offered by the Ofroi platform. Subscription prices and fees are published on the pricing page and may change from time to time.
5.2 Prices are fixed and determined by Ofroi. Annual subscription offers an equivalent discount compared to monthly payment.
5.3 Each subscription is paid in advance and is valid for the relevant period (monthly or annual) from the activation date.
5.4 Subscriptions renew automatically unless the Provider cancels them before the end of the active period.
5.5 Upon cancellation, the paid period is not refunded, but the service remains active until the prepaid term expires, except where otherwise provided by law or platform policies.
5.6 The Provider may change plan (upgrade or downgrade) at any time; the change takes effect at the start of the next billing cycle.
5.7 Additional paid services (e.g. promotions, featured listings or advertising) are charged separately under platform terms.
5.8 Responsibility for declaring and paying taxes and VAT lies with the Provider.
6. Suspension or closure of the account
6.1 Ofroi may temporarily or permanently suspend or close a Provider's account in case of breach of terms of use, publication of inappropriate content, repeated user complaints or suspicious or unlawful activity.
6.2 In case of suspension or closure due to breaches by the Provider, existing payments are not refunded and the Provider loses access to subscription features.
6.3 In case of voluntary account closure by the Provider, the subscription remains active until the end of the prepaid period (monthly or annual) and is not refunded.
6.4 If the platform stops the service for technical reasons or improvements, the Provider will be notified in advance and may receive a proportional refund for the unused period.
6.5 After account closure, the Provider's data and content may be permanently deleted after the retention period, in accordance with the Privacy and Data Protection Policy.
